In a recent judgment (HR-2026-280-A), the Norwegian Supreme Court has ruled on the contractual duty of loyalty. A long-standing supplier relationship between a Norwegian manufacturer (Isola AS) and a German distribution partner (Dural GmbH) broke down. Therefore, the Norwegian Supreme Court had to consider whether and to what extent, under Norwegian law, the contractual duty of loyalty, which in German law is dealt with in Section 242 of the German Civil Code (BGB), can impose on the parties such obligations which do not expressly arise from the contract. In the webinar, lawyer Anders Myhre will explain the judgment and its significance for commercial contracts, long-standing cooperative relationships and issues relating to contract termination.
The webinar clarifies the limits of the duty of loyalty, the importance of risk allocation in the contract and the implications of the decision for parties who draft, negotiate and enforce contracts under Norwegian law.
